SuperOffice Group AS – Contemplated new ownership, fixed income meetings and 2024 key financials
Reference is made to the Q3 report for SuperOffice Group AS, released on 28 November 2024, informing that Axcel Management A/S as manager to the ultimate majority shareholder is reviewing the future ownership and capital structure of SuperOffice Group AS. In connection with the review, Axcel is contemplating a transaction involving a sale of the Group to a newly established Bidco, Ax INV1 Holding AS. Following completion of such transaction (which is subject to the satisfaction of certain conditions precedent) the Group will continue to be supported and advised by Axcel Management A/S.
Ax INV1 Holding AS has mandated ABG Sundal Collier and Danske Bank to arrange a series of fixed income investor meetings commencing on 21 January 2025. To part-finance the potential acquisition, a NOK 1,100 million senior secured bond issue with a 5-year tenor may follow, subject to inter alia market conditions.
The existing senior secured NOK 700 million bonds with maturity in November 2025 (ISIN NO0010900129)(“SUOGR01”) will be redeemed in connection with the contemplated acquisition (subject to one or more separate call notices to be submitted).
Financial trading update:
In connection with the fixed income investor meetings the company will present estimated financial figures for the full year of 2024 (Comparable figures for 2023 in brackets).
